Terms of Service

These Terms of Service (the "Terms") are an agreement between you and Kryotic LLC ("Ambient Analysis", "we", "us"), the operator of ambientanalysis.net and the services available through it (the "Service"). By creating an account or using the Service you agree to these Terms, our Privacy Policy, our Refund Policy, and our Risk Disclosure. If you do not agree, do not use the Service.

1. What the Service is

Ambient Analysis is a strategy research tool. You describe a trading strategy in plain English; the Service uses an AI system to convert that description into a structured set of rules, runs those rules against historical market data, and shows you the results, including performance statistics, chart replays, Monte Carlo resampling, breakdowns by session, volatility, and scheduled news, AI-written audits, and code exports.

The Service is for education and research. It is not investment, financial, legal, or tax advice. We are not a broker, dealer, commodity trading advisor, or investment adviser, and nothing in the Service is a recommendation to buy, sell, or hold any instrument. Read the Risk Disclosure before relying on anything the Service produces.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service where doing so is prohibited by law.

3. Your account

You need an account to use the Service. You agree to give us accurate information, keep your password confidential, and tell us promptly at support@ambientanalysis.net if you believe your account has been accessed without your permission. You are responsible for everything that happens under your account. One person may hold one account, and accounts may not be shared, sold, or transferred.

4. Plans, billing, and cancellation

The Service offers a free plan and paid subscription plans. The features and usage limits of each plan are described on the plans page inside the Service and may change over time.

Paid plans are billed monthly in advance through Stripe, our payment processor. By subscribing you authorize us to charge your payment method at the start of each billing period until you cancel. Prices are shown in US dollars and exclude any taxes that apply to you; where we are required to collect tax, it will be added to your charge.

You can cancel at any time from the billing portal inside the Service. Cancellation stops future charges. Your paid features remain available until the end of the period you have already paid for, and your account then returns to the free plan.

If a payment fails, we may retry it, and we may move your account to the free plan until payment succeeds. We may change prices with at least 30 days' notice by email; a price change takes effect at your next renewal after the notice period.

5. Refunds

Refunds are governed by our Refund Policy. In short: a charge is refundable if you ask within 7 days of that charge and your account has run no AI strategy parses or AI audits since the charge. Otherwise charges are non-refundable, and cancelling does not refund the remainder of a billing period.

6. Your content

You keep ownership of the strategy descriptions, uploaded data files, and other material you submit to the Service ("Your Content"). You give us a non-exclusive, worldwide license to store, process, and display Your Content as needed to run the Service for you, including sending strategy text to our AI provider for interpretation. We do not use Your Content to train AI models, and we do not sell it.

You are responsible for Your Content. You confirm that you have the right to submit it and that it does not violate any law or the rights of anyone else. We may remove content that violates these Terms.

7. Market data and outputs

Historical market data available in the Service is licensed from third-party providers for use within the Service. You may use it only through the Service's own features. You may not download, scrape, extract, copy, redistribute, resell, or otherwise make the underlying market data available outside the Service, whether by hand, by script, or by any other means.

The results the Service produces from your strategies, such as statistics, charts, audits, and exported code, are yours to use, share, and publish as you see fit, so long as you do not present them as advice or as a guarantee of future performance. They are hypothetical results and carry the limitations described in the Risk Disclosure.

8. Acceptable use

You agree not to:

  • access or attempt to access the Service or its systems in any way other than through the interfaces we provide;
  • probe, scan, or test the vulnerability of the Service, or interfere with its operation;
  • use automated tools to send requests, scrape pages, or bulk-extract data;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except where the law allows it;
  • use the AI features to generate content that is unlawful, harmful, or unrelated to strategy research, or attempt to manipulate them into doing so;
  • resell, sublicense, or provide the Service to third parties, or use it to build a competing product;
  • impersonate any person, or misrepresent your affiliation with anyone;
  • use the Service in violation of any applicable law or regulation.

We may suspend or terminate accounts that violate this section.

9. Intellectual property

The Service, including its software, design, text, graphics, and trademarks, belongs to Kryotic LLC or its licensors and is protected by intellectual property law. These Terms do not give you any right to use our name, logos, or branding. If you send us feedback or suggestions, you agree that we may use them without any obligation to you.

10. Third-party services

The Service relies on third parties, including Stripe for payments, an AI model provider for interpreting strategy text and writing audits, and cloud providers for hosting. Those services have their own terms, and we are not responsible for their acts or omissions. Exported code is provided for use on third-party platforms at your own risk; we do not control those platforms and do not guarantee that exported code will run correctly on them.

11. Availability and changes

We work to keep the Service available, but it is provided without any uptime guarantee. We may modify, suspend, or discontinue any part of the Service at any time, including features, plan limits, and supported instruments. Where a change materially reduces a paid plan, we will tell you by email, and you may cancel.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT RESULTS WILL BE ACCURATE OR COMPLETE, OR THAT ANY STRATEGY WILL BE PROFITABLE.

ALL RESULTS PRODUCED BY THE SERVICE ARE HYPOTHETICAL. THEY ARE BASED ON HISTORICAL DATA, MODELING ASSUMPTIONS, AND AI INTERPRETATION, ANY OF WHICH MAY CONTAIN ERRORS. PAST PERFORMANCE, SIMULATED OR REAL, IS NOT INDICATIVE OF FUTURE RESULTS. TRADING FUTURES AND OTHER LEVERAGED INSTRUMENTS INVOLVES SUBSTANTIAL RISK OF LOSS.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KRYOTIC LLC AND ITS MEMBERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR 50 US DOLLARS IF YOU HAVE PAID NOTHING.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to defend and hold harmless Kryotic LLC from claims, damages, and expenses, including reasonable attorneys' fees, arising from Your Content, your use of the Service, or your violation of these Terms or of any law.

15. Termination

You may stop using the Service and ask us to delete your account at any time by emailing support@ambientanalysis.net. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. On termination your right to use the Service ends; sections that by their nature should survive, including 6, 7, 9, 12, 13, 14, and 16, will survive.

16. Governing law and disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict of laws rules. Before starting any formal dispute, you agree to contact us at support@ambientanalysis.net and give us 30 days to try to resolve it. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to their jurisdiction.

17. Changes to these Terms

We may update these Terms from time to time. The current version is always available at ambientanalysis.net/terms with its "last updated" date. For material changes we will notify you by email or inside the Service before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

18. General

These Terms, together with the Privacy Policy, Refund Policy, and Risk Disclosure, are the entire agreement between you and us about the Service. If any part of these Terms is found unenforceable, the rest remains in effect. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of it.
